Dealer Agreement & General Terms and Conditions

1. Ordering: All orders are subject to acceptance by Alder New York and will be handled in accordance with the following terms and conditions contained herein. All orders are final and non-cancelable by the dealer once submitted through this site.

2. Shipping: All Alder New York products are sold and shipped FOB USA. The Dealer assumes all cost and risk pertaining to the transportation of products sold to the dealer specified “ship to” address. We offer flat rate $25 shipping the US and $50 to Canada. 

3. Delivery: Orders are delivered Credit Card pre-paid or C.O.D. (cashiers check, business check, or money order) unless terms are requested and approved. Under no circumstance will any order deliver on consignment basis.

4. Terms: If dealer would like net payment terms, dealer may be required to fill out a credit application.

5. Past Due: Any invoice not paid on or before the specified due date will be classified as past due and delinquent. Any past due amount may be subject to a service charge of 5% per month, compounded monthly. Best attempt to reach dealer will be made before service charges are assessed. If for any reason you are unable to pay your invoice by the due date, please contact Alder New York immediately. Furthermore, any checks which are bounced due to non-sufficient funds or any other reason will be assessed a $30.00 NSF fee.

6. Delinquent Accounts: Alder New York may refer delinquent accounts to a third party collection agency or an attorney for collection. Dealer will be obligated to pay the full balance of the invoice, plus interest thereon, together with all collection fees, attorney's fees, and any related expense incurred by Alder New York. If for any reason you are unable to pay your invoice by the due date, please contact Alder New York immediately.

7. Shipping Errors / Damaged Goods: Dealer has seven (7) business days from receiving goods to notify Alder New York of damages, defects, or shortages. Merchandise will either be replaced or credit issued as soon as possible after receipt and inspection by Alder New York.

8. Returns: Returns other than for errors, damages, defects, shortages or overages are not acceptable. In rare cases that returns are authorized, returns may be subject to a 15% restocking fee.

9. Backorders: Products not available at time of initial shipment will be placed on backorder and shipped on the earliest available date thereafter.

10. Waivers: The waiver of any breach of any term or condition of this Agreement shall not operate as a waiver of any other breach of such term or condition or of any other term or condition, nor shall any failure to enforce any provision hereof operate as a waiver of such provision or of any other provision hereof.

This Agreement is subject to all applicable laws of New York. Any conflicts or controversies arising out of this Agreement or any other relationship with Alder New York shall be subject to New York jurisdiction.

This Agreement is considered a part of each order submitted by the applicant and the applicant also agrees to all terms and conditions as specified in the Agreement. Alder New York reserves the right to amend terms and conditions as needed.

Any modification of this agreement must be signed by both parties in writing.
